Terms of Service

These Terms of Service govern your access to and use of the GooseCabbage website and services. Please read them carefully.

01Acceptance of terms

By creating an account or using the service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service. If you are using the service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

02The service

GooseCabbage AI LLC ("GooseCabbage", "we", "us") provides AI agents that discover, simulate, deploy, and optimize Google Ads campaigns. Depending on the features you enable, the service:

  • analyzes your website and business to extract your value proposition, ideal customer, conversion events, vocabulary, competitors, and negative-keyword seeds ("Business Discovery");
  • scores ad concepts against pools of AI-generated synthetic personas to project metrics such as click-through and conversion rate before you spend ("Pre-Flight Simulator"); and
  • runs continuous head-to-head creative ad tournaments that identify winners and underperformers and adjust your connected Google Ads account accordingly, subject to the guardrail and approval controls described below ("Tournament Arena").

The service connects to third-party advertising and analytics platforms — currently Google Ads and Google Analytics 4 — at your direction and acts on your behalf based on the configuration, guardrails, and authorizations you provide.

03Accounts and eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to enter into a binding contract to use the service. You agree to provide accurate account information, keep your credentials secure, and accept responsibility for all activity that occurs under your account. Notify us promptly of any unauthorized access.

04Agencies and managed accounts

If you use the service as an agency or firm to manage Google Ads accounts on behalf of your clients, you represent and warrant that you have each client's authorization to connect their account, to configure campaigns and guardrails, and to authorize the automated actions described below. You are responsible for your clients' compliance with these terms and for any spend, configuration, or content associated with the accounts you manage through the service.

05Connecting Google Ads and analytics accounts

When you connect a Google Ads or Google Analytics account through Google's OAuth flow, you authorize GooseCabbage to access and operate that account through the relevant APIs, to the extent of the scopes you grant, in order to provide the features you enable. You must connect only accounts you own or are authorized to manage.

You retain full ownership of your accounts at all times and may revoke GooseCabbage's access at any time, either from within the service or from your Google account's third-party access settings. Revocation immediately stops further API calls on your behalf. Campaigns previously deployed remain in your Google Ads account and continue to run until you pause or remove them.

06Automated actions, guardrails, and approvals

The service combines automated execution with your approval. Within the guardrails you configure — such as daily and monthly spend caps and exploration preferences — the service may automatically apply lower-risk changes to your connected Google Ads account on a recurring basis without a separate approval for each one, for example pausing or refining existing ads and keywords, decreasing budgets, and increasing budgets that stay within your caps.

Higher-impact changes are not applied automatically. Actions such as launching new campaigns, increasing budgets beyond your caps, resuming paused campaigns, starting experiments, and promoting or relegating ads from creative tournaments are held for your explicit approval before they take effect.

You are responsible for setting and maintaining your guardrails. You can change your configuration, pause automated activity, review or reject pending actions, or disconnect the service at any time. You remain solely responsible for the configuration you set and for the results of any actions taken within the limits you set.

07Ad spend is separate from our fees

Your fees for the service are separate from your advertising media spend. Google bills your Google Ads media spend directly to the payment method on your Google Ads account. GooseCabbage does not pay for, advance, or guarantee your ad spend, and is not liable for any media spend charged to your account — including spend resulting from automated actions taken within the budget caps and guardrails you configured.

08AI output and simulations

The service uses AI to generate business analysis, ad copy, keywords, audience targeting, simulations, and optimization decisions. Synthetic-persona simulations and projected metrics are estimates, not predictions of real-world results, and AI-generated output may be inaccurate, incomplete, or non-compliant with platform policies. Output is provided for your evaluation; you are responsible for the configuration you approve and for the results of any campaigns the service runs on your behalf.

09Billing, credits, and payments

The service is offered on a pay-as-you-go basis. There is no paid subscription or monthly platform fee: you add a payment method and purchase credits, which are priced at one U.S. dollar each and do not expire. Your simulations and optimization consume credits based on the underlying work performed (such as the AI usage they require). Payments are processed by our payment processor, Stripe; by providing a payment method you authorize charges for the credits and fees that come due.

Credits and fees are non-refundable except where required by law. Prices and the credit rate card may change with reasonable notice; continued use after a change takes effect constitutes acceptance. Fees are exclusive of taxes, which are your responsibility. If a payment fails, we may suspend access until the issue is resolved.

10Acceptable use

You agree not to misuse the service, including by accessing it without authorization, interfering with or probing its operation or security, reverse-engineering it, reselling or sublicensing it without our consent, using it to build a competing product, or using it to violate any law or the rights of others.

You are responsible for ensuring that the campaigns, landing pages, and content you run through the service comply with all applicable advertising law and with the policies of the connected platforms, including Google Ads policies. Our agents check generated copy against platform policies on a best-effort basis, but final policy and approval decisions are made by the platform, not by us.

11Your data and content

You retain ownership of the data and content you provide to or generate through the service, including your business profile, uploaded materials, campaign settings, and the campaigns we create in your Google Ads account. You grant us a limited, worldwide, royalty-free license to host and process that data solely to operate and provide the service to you. We do not sell your data and do not use it to train general-purpose AI models. You represent that you have the rights necessary to provide it and that it does not infringe the rights of any third party.

12Our intellectual property

The service, including its software, design, AI agents, and documentation, is owned by GooseCabbage and protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the service for your own internal business purposes, subject to these terms. All rights not expressly granted are reserved.

13Third-party platforms

The service depends on third-party platforms such as Google Ads and Google Analytics. Your use of those platforms is governed by their own terms and policies, which you are responsible for following. We are not responsible for the availability, accuracy, or actions of third-party platforms, and changes those platforms make may affect the service.

14Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that campaigns will be approved by any platform or achieve any particular advertising result, return on ad spend, or revenue.

15Limitation of liability

To the maximum extent permitted by law, GooseCabbage will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or related to your use of the service. Our total cumulative liability will not exceed the greater of the fees you paid us in the 12 months preceding the event giving rise to liability or one hundred U.S. dollars (USD $100). We are not liable for any Google Ads media spend charged to your account.

16Indemnification

You agree to indemnify and hold harmless GooseCabbage and its officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your data or content, the campaigns you run or authorize through the service, your use of the service in violation of these terms, or your violation of any law or third-party right.

17Termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you materially breach these terms, if required by law, or if necessary to protect the service or other users. Upon termination your access ends, we handle your data as described in the Privacy Policy, and provisions that by their nature should survive termination will survive.

18Governing law

These terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-laws rules, and the state and federal courts located in Arkansas have exclusive jurisdiction over any dispute arising out of or related to these terms or the service. This does not prevent either party from seeking injunctive relief to protect its intellectual property or confidential information.

19Changes to these terms

We may update these terms from time to time. When we make material changes we will update the "last updated" date above and, where appropriate, notify you through the service. Continued use after changes take effect constitutes acceptance.
